01Scope
These terms govern the use of this website and set out the general basis on which MATRJO ("we", "us") provides sourcing, product development, quality control, compliance and logistics services ("Services") to business customers ("you"). The specific scope, fees and timelines of each project are set out in a written quotation, service agreement or purchase order ("Agreement"). If an Agreement conflicts with these terms, the Agreement prevails.
02Business customers only
Our Services are offered exclusively to companies and persons acting in the course of their trade or business, not to consumers.
03Use of this website
You may use this website for information purposes and to contact us. You must not use it in a way that is unlawful, that could damage, disable or impair the website, or that attempts to gain unauthorised access to our systems. Content on this website is general information and does not form an offer.
04Quotations and orders
Quotations are valid for the period stated in them, and otherwise for 30 days. Prices depend on exchange rates, raw material costs, order volumes and specifications at the time of quotation. A project starts only after you confirm the quotation in writing and, where agreed, pay any deposit.
05Our role
Unless agreed otherwise in writing, we act as your sourcing agent and service provider, not as the manufacturer of the products. The manufacturer remains responsible for production and for the products it supplies. We support you with supplier selection, negotiation, inspections and documentation with the care of a prudent business.
06Your responsibilities
- to provide complete and accurate specifications, drawings, artwork and requirements for your target markets;
- to make sure that your brand names, logos and designs do not infringe the rights of third parties;
- to approve samples, packaging and inspection results within agreed timelines;
- to pay invoices on time.
07Quality control and compliance
Inspections are carried out on a sampling basis according to the agreed standard (for example AQL levels) and reflect the condition of the inspected goods at the time of inspection. Inspections reduce, but cannot eliminate, the risk of defects. We help you to obtain certifications and test reports for your target markets. You remain responsible as the brand owner or importer for the final compliance of the products with the laws of the markets where they are sold.
08Fees and payment
Fees, payment terms and currency are set out in the Agreement. Unless agreed otherwise, invoices are payable within 14 days. Bank charges for international transfers are borne by the paying party. We may suspend Services while payments are overdue.
09Shipping and risk
Delivery terms follow the Incoterms® agreed in the Agreement (for example FOB or EXW). Lead times are estimates based on the information available from manufacturers and carriers. We are not liable for delays caused by manufacturers, carriers, customs, port congestion or events beyond our reasonable control.
10Confidentiality and intellectual property
We treat your specifications, designs, prices and business information as confidential and share them with manufacturers and partners only as far as needed to carry out your project. On request, we arrange non-disclosure or NNN agreements with suppliers. Intellectual property in your designs and brands remains yours.
11Limitation of liability
To the extent permitted by law, our total liability arising from or in connection with a project is limited to the service fees you paid to us for that project. We are not liable for indirect or consequential losses, including loss of profit, revenue or business opportunity. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct.
12Force majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, export restrictions, strikes, power or internet failures and disruptions to transport.
13Governing law and disputes
These terms and any Agreement are governed by the laws of the Hong Kong Special Administrative Region. The parties will first try to resolve any dispute amicably. If this is not possible within 30 days, the dispute shall be submitted to the courts of Hong Kong, unless the Agreement provides for arbitration.
14Changes and contact
We may update these terms from time to time. The version published on this page at the time of your order applies. Questions about these terms can be sent to office@matrjo.com.
